Addendum A

Delta Manager Direct Wrap Program Schedule of Fees:

SCHEDULE OF FEES:
DIASTOLE PROGRAM FEES

For purposes of calculating fees, one “Household” will include all accounts held in DWM Platform Portfolios under the same social security number or federal tax ID number.

For services rendered pursuant to this agreement, each Household will pay to DWM, as full compensation, an annual fee commensurate with the following schedule:

Equity :
On amount below $500,000 0.20%
On amount $500,000 to $1 million 0.15%
On amount $1 million to $5 million 0.10%
On amount $5 million to $10 million 0.08%
On amount over $10 million neg.

Fixed Income:
On amount below $500,000 0.15%
On amount $500,000 to $1 million 0.12%
On amount $1 million to $5 million 0.08%
On amount $5 million to $10 million 0.05%
On amount over $10 million 0.03%

If the number of accounts within a Household with an aggregate account value of less than $250,000 exceeds one (1), the additional account(s) above the allowable account maximum will be charged an annual administrative fee of one hundred twenty dollars ($120.00), which will be debited quarterly at thirty dollars ($30.00) as a component of the quarterly Diastole Platform Fee debit.


Sub-Adviser Program Fees

For investment services rendered by sub-advisers pursuant to this agreement, each Household wil pay to DWM, as full compensation, an annual per-account fee set by the individual sub-advisor. Fees typically start at 0.50% for equity management services and 0.25% for fixed income management, although fees are set by the sub-advisor and may be higher or lower.


Payment of Fees

Diastole Wealth Management shall be responsible for the calculation and collection of all fees owed to DWM and related sub-advisors for services rendered under this agreement. All fees shall be debited in arrears and calculated quarterly based upon the market appraisal by DWM of the value of the client accounts within each Household as of the last business day of the calendar quarter. The fees will be prorated for any partial quarters and calculated based upon the market appraisal by
DWM of the value of the client accounts as if the close of business on the day preceding the withdrawal of funds. Firm may withdraw account assets upon five business days written
notice to Diastole, subject to the usual and customary securities settlement procedures.

Delta Equity Services will be responsible for the calculation and collection of all fees owed Delta
Equity if the assets are held at Pershing. If client assets are held at Charles Schwab, DWM will be
responsible for the calculation and collection of these fees.
